MM理論

MM理論(エムエムりろん)とは、アメリカのフランコ・モディリアーニマートン・ミラー1958年に提唱した、資本構造における近代的思考の基礎、完全な市場の下で企業が資金調達を行うときには、資金調達方法の組み合わせ方を変えても企業価値は変化しないという定理である[1]

モディリアーニ=ミラーの定理(Modigliani-Miller theorem)、資本構造の無効性原理(capital structure irrelevance principle)とも呼ばれる。

概要

完全市場を仮定すれば、企業の資本構成および配当政策は企業価値に影響を与えないという定理であり、またMM理論は完全市場を前提とする理論であることから、完全市場でない現実の市場においては、資本構成や配当政策は企業価値に影響を与えるとされる。

歴史的背景

この概念はアメリカ経済学者フランコ・モディリアーニ(当時、カーネギーメロン大学教授)が基本となるアイディアを提唱し[2]、1958年、マートン・ミラーとの共著論文によって発表された。[3]

1963年法人税を考慮したモデルに修正された。[4]これは、MMの修正命題(tax correction of MM proposition)と呼ばれ、税引後営業利益(NOPAT)を用い、法人税を考慮すると、レバレッジを揚げると資本コスト(加重平均資本コスト(WACC))が下落するので、株式コストが低下する。このことは資金調達における負債の優位性を示している。

命題

  • 第1命題:無関連性命題(irrelevance result)・・・企業の資金調達の方法と企業価値とは無関係である。(企業価値)
  • 第2命題:企業の利益配分と企業価値とは無関係である。(株価収益
  • 第3命題:資本コストは資本構成には依存しない。/資金調達は株価または負債の調達方法とは無関係である。/企業の投資の切捨率は、負債未利用企業の自己資本の資本コストであり、これは資本構成とは完全に無関係に決まる。

第3命題

「もしクラスKの企業が株主に最もよく適合するように意思決定するならば、その企業は投資収益率ρρkに等しいか、それより大きい場合に限って投資を行うであろう。すなわち、その企業の投資の(ための)切捨率(cut off point)は常にρkであり、この切捨率が投資資金を調達するために用いられる証券の種類によって影響されることは全くないのである。言い換えれば、資金調達の方法に関わりなく企業の限界資本コスト平均資本コストに等しく、また平均資本コストは、その企業の属するクラスにおける自己資本のみからなる企業の純営業利益の流列(unlevered stream)に対する資本化率に等しい。」[5]

経済的帰結

  • MM理論に立脚すると、株価と配当の無関連性が証明される。
  • また完全市場の前提を緩和して、税金と破産コストを導入すること。
  • 自己資本利益率(株主資本利益率、ROE)との比較。
  • MM理論は、経済学の中にファイナンスを位置づけたという点で重要な業績を残し、またファイナンスの分野に多くの経済学者を導いて発展させるきっかけを作った。

MM理論(モジリアーニ=ミラーの定理)が資本市場に影響を与えた正確な範囲を決定することは困難だが、引数がレバレッジの利用を促進あるいは拡大するために使用されている。

批判

Modigliani and Miller(1958年)の主な問題は、株主は、公企業の所有者であると仮定することである。 この仮定は、Berle and Means(1932年)以来、法律学者によって論破されている。99.9%が流通市場であるとして、株主はどちらの所有者、残余請求者(利益すなわち所有者)、投資家でもない。

EBIT(企業価値)を計算するための資本コストの計算式の使用は極めて制限されている。

法人税の導入によるMM理論(MMの修正命題)は、資金調達の負債の優位性を示したが、負債に依存すると財務的破産(financial distress)が生じ、ひいては破産や債務不履行に至る危険性があり、コストとして認識しなければならない。

MM理論が公表されて以来、最適資本構成に関する一般公式や実務解が未だに提示されておらず、研究論文などでは「実務での検証が望まれる」といった結びが多い。

um so you've overheard us they're talking a lot about um economic updates tomorrow canada will present one the deficit will probably be at an all-time high once again it's got a lot of people worried what would you say to people worried about a huge deficit the biggest deficit we've ever seen?


Kelton:

don't worry that's the the really important message you know the the deficit so many people perceive this thing to be part of the problem and the reality is that it is in a very important way part of the solution to getting out of the pro the the real problem that we're in which is a recession induced by a health pandemic right and these deficits are really important they're playing an important role in getting us to the other side of this and so people need to take a deep breath sort of you know exhale and recognize that you know this this thing that we hear about all the time that people tell us is such a scary and dangerous thing is really nothing more than the difference between two numbers that's what the deficit is it's the difference between how many dollars the government is spending into the economy to support it and how many dollars it's subtracting back out mostly in the form of taxes so a deficit is nothing more than the financial contribution that the canadian government is making to the rest of the economy that's important

can can you give i know this is hard because you've written a whole book about it but could you give a short definition for people about modern monetary theory that just the basics so people can understand where you're coming from

sure so essentially you know in a nutshell we want to recognize that the monetary system that is in place today in a country like canada or in a country like the us and australia japan and many others is in no way like the monetary systems of yesteryear we are not on a gold standard we're not on a fixed exchange rate system the monetary system has changed in important ways especially post 1971 we had this international monetary system called bretton woods countries were fixing their exchange rates to one another's currencies and then through the us dollar the currency was convertible into gold internationally all of that is gone and because the monetary system has changed in these fundamental ways it has opened up policy space for governments to orient their budgets more freely in other words governments face fewer constraints under the new monetary system than they faced under an old fixed exchange rate gold standard type of system so there's more capacity for governments to run budgets um more appropriately when the economy is weak and um that really is kind of a game changer.


Rosemary:

 yeah that was a very good explanation i'm sure you've had to do that before in a short period of time i want to play a clip if i can uh to you of our finance minister and deputy prime minister christian freeland who might you might even know uh commenting on on her thoughts on modern monetary theory here's what she said just last month.


Freeland:

 i am not among those who think canada should have a fling with modern monetary theory,

 which holds that deficits don't matter for a government that issues debt in its own currency.


Rosemary:

 uh stephanie kelton uh you know christy freeland has has been um an economist herself she's she's studied it.

um and and there she is saying that you know this isn't this isn't the kind of thing i want to consider is that because it is uh too risky politically.

do you think for governments to state openly that this is a viable path?


Kelton:

well look i you say she studied it i'm not sure what the it is in that sentence she studied some economic but it's not clear from that statement that she studied anything from the mmt kind of canada or the literature or the scholarship.

so when she says i'm not someone who believes that deficits don't matter well neither am i so if she's under the impression that mmt is about deficits don't matter then i think we have pretty good evidence that she hasn't actually understood what mmt is saying mmt is saying deficits matter,

but they don't matter the way that we've been taught to believe they matter.


Rosemary:

so we also in this country talk a lot about a fiscal anchor um or the government currently is talking about guard rails and the importance for for this government has been to keep our debt to gdp ratio uh in line it does that make sense to you in terms of uh in terms of trying to manage a deficit and and over the longer term debt?


Kelton:

no. um i don't think that there is any particular importance i would certainly never target a a ratio like the the ratio of debt relative to the size of the canadian economy or to the size of the u.s economy you look at japan for example where the debt to gdp ratio is something like 240 percent so orders of magnitude higher than anything you have in canada or anything we have here in the u.s and yet the government's interest rate on 10-year bonds in japan is zero they can't get inflation up to two percent and so the things that we would want to worry about with respect to a government's budget position you know or things like the inflationary pressures that might be costs and so there's just no evidence that that ratio is in and of itself anything important.


Rosemary:

so so then to to the fiscal conservatives in this country and the the members of the official opposition who would say to you well we cannot go on like this we will leave this as a problem for future generations what what would you say to them?


Kelton:

so look it is not a problem for future generations these are financial assets what we're talking about this word gets in the way right because we call this the public debt or the national debt and that word is intrusive and unhelpful so what we should recognize is that what the canadian government is doing is it is providing as part of the support that it's providing to the economy canadian government bonds okay .

those are financial assets to their holders this is something that becomes part of the wealth of the bondholders so think about it this way when the government is running a fiscal deficit it's adding more dollars to the economy than it is subtracting so using really simple numbers suppose a canadian government spends a hundred dollars into the economy and only taxes ninety dollars back out its deficit has made a contribution a financial contribution of ten dollars to some part of the canadian economy it could stop there and just leave the ten canadian dollars sitting in someone's hands but it doesn't instead it matches up its deficit spending by selling canadian government bonds so here's what happens the canadian government subtracts those 10 canadian dollars back out and replaces them with 10 canadian government bonds okay so both of these are financial instruments both issued by the canadian government they can't come from anywhere else and so what really happens is the government is making a contribution in the form of a canadian government bond that's a financial asset that's part of someone's wealth when the bond matures what happens the government retires it by returning its original form of payment it just pays back canadian dollars there's nothing inherently dangerous about any of this what matters is are you making investments that are supporting the economy are you avoiding an inflation problem and apart from that the deficit itself again as i started off saying is part of the solution to the problem we're facing.


Rosemary:

 ポトシで採掘された銀は、パナマまで船で運ばれ、ラバに背負われてパナマ地峡を超えます。そして、カリブ海の港からスペインに輸送されます。それをイングランドの海賊たちが襲ったのです。

 なかでも有名なのが、サー・フランシス・ドレーク( 1543年頃 - 1596年)。彼は、ウェールズ人の航海者で、海賊(私掠船船長)です(後に海軍提督)。

 ドレークは、初めて世界一周を達成しました。マゼランは生還できなかったので、艦隊指揮者として世界を周航したのは、ドレークが初めてです。

 彼はマゼラン海峡を通り抜けて太平洋に出たあと、嵐に流されて、マゼラン海峡より南の海峡を偶然通り抜けて大西洋に押し戻されました。南極半島との間のこの海峡は、「ドレーク海峡」と呼ばれるようになりました。

 もっとも、ドレークにとってもエリザベスにとっても、世界周航や海峡発見は重要なことではありませんでした。彼らの関心は、「何を持ち帰れるか」にあったからです。

 マゼランの艦隊は胡椒を持ち帰っただけですが、ドレークは、海賊行為によって多大の財宝を持ち帰りました。

◆海賊ビジネスで大英帝国の基礎を築く

 その額は、60万ポンドと言われます。当時のイングランド王室の年収が20万ポンド程度だと言われますから、いかに巨額かが分かります。出資者は4700パーセントの収益を得たのですが、その一人である女王は30万ポンドを得ました。

 イングランド王室は負債をすべて返済し、残りの一部である4.2万ポンドを「レヴァント会社」に投資しました。これは、オスマン帝国から商業活動を認められたエリザベスが、イギリス商人に特許状を与えて1581年に作った会社です。毛織物の輸出などで利益をあげ、またオスマン帝国との外交にもあたりました。

 この会社の収益から、後に東インド会社が設立されたのです。経済学者J.M.ケインズは、『貨幣論』(A Treatise on Money )の中で、ドレークの捕獲金がイギリス対外投資の源泉となったと指摘しています。

 大英帝国の基礎は、このときに作られたのです。スペインが新大陸の富を浪費したのに対して、「海賊ビジネス」と企業家精神を持つイングランドは、近代資本主義に向かう道を歩んでいました。

 スペインは南米にポトシという大銀山を発見し、湯水のように銀を使えるようになりました。しかし、それは、国内産業の育成には使われませんでした。

 スペイン国王は、軍備拡張のために銀を用いたのです。そして、オランダ独立戦争に対処しました。さらに、新教の女王にリードされて海賊行為を働くイングランドを征服しようとします。

◆太陽の没することのない大帝国

 スペインは、中南米を征服し、植民地化しました。

 そして、「太陽の没することのない大帝国」を作り上げたのです。この言葉は、大英帝国を表わすと考えられることが多いのですが、もともとは、16世紀後半、フェリペ2世(1527年 - 1598年。在位:1556年 - 1598年)の時代に、世界中に領土を持つ大帝国となったスペイン王国を形容する言葉です。この時代はスペイン王国の全盛期でした。

 スペインの領土がこのように広がったのは、1580年にポルトガル王統が断絶したとき、フェリペ2世がその王を兼ね、ポルトガルを併合したためです。

 これによって、イベリア半島全域のみならず、ポルトガルが勢力を伸ばしていたアフリカ沿岸部、さらにはインドのゴアなどを領土に加えることになったのです。

◆ポトシに宝の山を発見

 スペインは、単に広大な地域を植民地化しただけではありません。宝の山を発見したのです。

 それは、ポトシの銀山です。

 1545年に、スペインの植民地であったペルーで発見されました(現在ではボリビアに属しています)。

 そこから無尽蔵の銀が産出されました。

 スペインの入植者は、インディオを強制労働で使って採掘した銀を、本国に送りました。

 銀は、通貨です。

 それがいくらでも出てくるというのですから、スペインは、世界で最も豊かな国になった……と誰もが思ったのですが、実はそうではありませんでした。

 以下で述べるような次第によって、ポトシ銀山の発見は、スペイン大帝国が衰退する基本的な原因となったのです。

◆スペイン王室に浪費されるか、軍備拡張に使われた

 スペインには、ポトシ銀山の銀が大量に持ち込まれました。それが、ヨーロッパ各地の商業都市で流通するようになったため、「価格革命」と呼ばれた現象がもたらされました。貨幣の数量が増えたために、物価が上昇したのです。

 また、スペインに運ばれる銀の多くは、スペイン王室の収入になります。

 したがって、スペイン王は、世界中から何でも望むものを買うことができるのです。

 では、フェリペは、何を買ったのでしょうか?

 第1には、強大な軍隊の建設です。

 第2には、宮廷の浪費です。

 このため、即位翌年の1557年以降、4回も破産宣告に追い込まれるほどでした。

 大量の銀は、スペイン国内の産業を発展させるためには用いられなかったのです。したがって、国民の富として蓄積されることはありませんでした。

 このため、スペインは国力を次第に失い、広大な領土を維持することができなくなっていくのです。

◆オランダ独立戦争

 フェリペが軍備拡張を行なったのは、スペインと他国との関係が緊張したからです。

 まず、1568年から1648年にかけて(1609年から1621年までは休戦)、ネーデルラント諸州(現在のオランダ、ベルギー)がスペインに対して反乱を起こし、「80年戦争」が起こりました。これは、「オランダ独立戦争」とも呼ばれます。

 ネーデルラントはハプスブルク家の領地でしたが、ハプスブルク家がオーストリアとスペインに分離してからは、スペイン領とされてきました。

 それまでもネーデルラントとスペインとの間は緊張関係にあったのですが、フェリペ2世は熱心なカトリック信者だったため、ネーデルラントの新教徒に対して、新教の信仰を禁じ、緊張状態が強まり、独立戦争へと向かっていったのです。

◆エリザベスと海賊国家

 もう一つは、イングランドが勃興しつつあったことです。

 フェリペは、それに対応するために、カトリックであるイングランドのメアリ女王と結婚して、イングランドの皇太子となったのです。しかし、メアリは5年余りの在位の後、子を残すことなく、1558年11月に死去しました。

 その後を継いでイングランド女王となったのは、メアリと異母姉妹のエリザベス(在位:1558年 – 1603年)です。2人の父親は、ヘンリー8世。

 エリザベスは目も眩むほど聡明な女性でした。6か国語をこなし、会話では、しばしばラテン語を引用しました。

 クリストファー・ヒバート『女王エリザベス』(原書房)によると、枢密顧問官がエリザベスに王位継承を告げた時、彼女は冬の寒風をものともせず、樫の樹の根元に座ってギリシャ語の聖書を読んでいました。

 そして、王位の継承を告げられると、膝をつき、讃美歌のつぎの一節をラテン語で引用しました。

 「そは神の行われしこと。凡愚の目には奇跡とうつらん」

 彼女は新教徒です。敬虔なカトリック教徒であるフェリペ2世にしてみれば、絶対に許すことのできない存在です。

◆イングランドの海賊がスペインの財宝を奪う

 フェリペがエリザベスを許せなかったのは、信教上の問題によるだけでなく、実利的な問題にもよりました。

 ポトシで採掘された銀は、パナマまで船で運ばれ、ラバに背負われてパナマ地峡を超えます。そして、カリブ海の港からスペインに輸送されます。それをイングランドの海賊たちが襲ったのです。

 なかでも有名なのが、サー・フランシス・ドレーク( 1543年頃 - 1596年)。彼は、ウェールズ人の航海者で、海賊(私掠船船長)です(後に海軍提督)。

 ドレークは、初めて世界一周を達成しました。マゼランは生還できなかったので、艦隊指揮者として世界を周航したのは、ドレークが初めてです。

 彼はマゼラン海峡を通り抜けて太平洋に出たあと、嵐に流されて、マゼラン海峡より南の海峡を偶然通り抜けて大西洋に押し戻されました。南極半島との間のこの海峡は、「ドレーク海峡」と呼ばれるようになりました。

 もっとも、ドレークにとってもエリザベスにとっても、世界周航や海峡発見は重要なことではありませんでした。彼らの関心は、「何を持ち帰れるか」にあったからです。

 マゼランの艦隊は胡椒を持ち帰っただけですが、ドレークは、海賊行為によって多大の財宝を持ち帰りました。

◆海賊ビジネスで大英帝国の基礎を築く

 その額は、60万ポンドと言われます。当時のイングランド王室の年収が20万ポンド程度だと言われますから、いかに巨額かが分かります。出資者は4700パーセントの収益を得たのですが、その一人である女王は30万ポンドを得ました。

 イングランド王室は負債をすべて返済し、残りの一部である4.2万ポンドを「レヴァント会社」に投資しました。これは、オスマン帝国から商業活動を認められたエリザベスが、イギリス商人に特許状を与えて1581年に作った会社です。毛織物の輸出などで利益をあげ、またオスマン帝国との外交にもあたりました。

 この会社の収益から、後に東インド会社が設立されたのです。経済学者J.M.ケインズは、『貨幣論』(A Treatise on Money )の中で、ドレークの捕獲金がイギリス対外投資の源泉となったと指摘しています。

 大英帝国の基礎は、このときに作られたのです。スペインが新大陸の富を浪費したのに対して、「海賊ビジネス」と企業家精神を持つイングランドは、近代資本主義に向かう道を歩んでいました。

 実際、ドレークのカリブ海での海賊行為は、イングランドでは、犯罪行為ではなく、英雄的行為とみなされていました。

 偉大な女王エリザベス1世の治世下で、正真正銘の海賊行為が、実質的には国の事業としてなされていたのです。

 フェリペにとっては、エリザベスのイングランドを征服することが最大の課題となりました。

 スペイン海軍はすべての海戦で勝利したため、「無敵艦隊アルマダ」と呼ばれていました。陸軍もヨーロッパ最強です。

 フェリペは、ポトシからの銀をつぎ込んで大軍拡を行ない、イングランド征服に向けて準備を進めました。
